These Terms of Use ("Terms") govern your access to and use of the tolqAI platform, website, and related services (collectively, the "Service") provided by tolqAI ("tolqAI", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you do not agree, you must not use the Service. Where tolqAI and a customer have signed a separate written agreement (such as a Master Services Agreement or Order Form), that agreement prevails to the extent it conflicts with these Terms.

2. Description of tolqAI

tolqAI is an enterprise software-as-a-service (SaaS) platform for offline, in-person sales conversation intelligence. The Service enables authorized personnel to record face-to-face customer conversations (for example in retail stores, showrooms, dealerships, and clinics), processes those audio recordings to generate transcripts and AI-powered insights, and presents analytics to help businesses understand and improve their in-person customer interactions.

3. Eligibility

The Service is intended for business use. You must be at least 18 years old and capable of forming a binding contract to use the Service. The Service is not directed at consumers or children.

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate and complete information when creating an account and to keep it up to date. You must notify us promptly of any unauthorized use of your account. We may suspend or terminate accounts that are inaccurate, compromised, or used in violation of these Terms.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation, including laws governing the recording of conversations;
  • Record conversations without obtaining all consents required by applicable law;
  • Upload content that is infringing, defamatory, obscene, or otherwise unlawful;
  • Attempt to gain unauthorized access to the Service, other accounts, or related systems;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Reverse engineer, decompile, or attempt to extract the source code of the Service, except where permitted by law;
  • Resell, sublicense, or provide access to the Service to third parties except as expressly permitted by your agreement with us;
  • Use the Service to build a competing product or to benchmark the Service for competitive purposes.

You are solely responsible for complying with all applicable laws relating to the recording of conversations, including obtaining any required consent from employees and customers before recording.

6. Customer Content

"Customer Content" means audio recordings, transcripts, data, and other materials you or your authorized users upload to or generate through the Service.

  • Ownership. You retain all right, title, and interest in and to your Customer Content. tolqAI does not claim ownership of your recordings, transcripts, or business data.
  • License to process. You grant tolqAI a limited, non-exclusive, worldwide license to host, process, transmit, and display Customer Content solely as necessary to provide and improve the Service to you.
  • Responsibility. You are responsible for the legality, accuracy, and quality of Customer Content and for ensuring you have all rights and consents needed to upload and process it.

7. AI-generated Insights Disclaimer

The Service uses artificial intelligence to transcribe audio and generate insights, scores, summaries, and recommendations. AI-generated outputs are provided for informational purposes only. They may be incomplete, inaccurate, or reflect the limitations of automated analysis of human conversation. They do not constitute professional, legal, financial, HR, or business advice, and they should not be the sole basis for employment decisions, disciplinary actions, or business-critical determinations. You are responsible for reviewing and validating AI-generated outputs before relying on them.

8. Intellectual Property

The Service, including its software, design, trademarks, documentation, and all underlying technology, is owned by tolqAI and its licensors and is protected by intellectual property laws. Except for the limited right to use the Service under these Terms, no rights are granted to you. If you provide feedback or suggestions, we may use them without restriction or obligation to you.

9. Subscription & Payments

Access to the Service is provided on a subscription basis as described on our pricing page or in a separate order form. Fees are stated in the applicable currency and are non-refundable except as required by law or expressly stated in your agreement. We may change pricing for renewal periods with reasonable advance notice. You are responsible for applicable taxes. Failure to pay may result in suspension or termination of access.

10. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if your subscription ends. Upon termination, your right to access the Service ceases. Provisions that by their nature should survive (including Customer Content ownership, disclaimers, limitation of liability, and indemnification) survive termination.

11. Limitation of Liability

To the maximum extent permitted by law, tolqAI and its affiliates, officers, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our aggregate liability for any claim arising out of or relating to the Service will not exceed the amounts you paid to tolqAI for the Service in the twelve (12) months preceding the event giving rise to the claim. The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Indemnification

You agree to indemnify, defend, and hold harmless tolqAI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your Customer Content, your use of the Service, your violation of these Terms, or your violation of any law or the rights of any third party — including claims arising from recordings made without legally required consent.

13. Governing Law

These Terms are governed by the laws of the Kingdom of Saudi Arabia, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be resolved in the competent courts of Riyadh, Saudi Arabia, unless a different jurisdiction is specified in a written agreement between you and tolqAI.

14. Changes to Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page and, for material changes, provide reasonable notice through the Service or by email. Your continued use of the Service after the updated Terms take effect constitutes acceptance of the changes.
